Nicolai Rothemejer Hansen advises especially on cross-border acquisition finance in connection with the acquisition of companies, real estate and large assets as well as on operating financing of Danish and international businesses.   

Nicolai often advises international private equity funds, banks and other enterprises and is recognised by The Legal 500 within ’Banking and finance’. 

Nicolai advises on the financing of the acquisition of enterprises and has acted for private equity funds such as Pemberton and investment companies such as Adelis Equity Partners in connection with acquisition finance.  

He also provides advice on the financing of the acquisition of real estate and large assets and has assisted banks such as Landesbank Hessen-Thüringen (Helaba) and investment companies such as Cromwell Carlyle. Nicolai also advises on securitisation and has acted for companies such as TIP Trailer Services. 

Finally, he assists creditors and chargees in connection with the non-performance of loans, restructuring proceedings and bankruptcies and has acted for private equity funds such as TriplePoint Capital.

Recent highlights
  • Nicolai acted for the private equity fund Pemberton on acquisition finance of EUR 120m in connection with the international investment fund ActivumSG Capital Management’s acquisition of the construction firm Nordstern ApS (formerly Casa Group A/S). The loan agreement had to take into account that the Casa Group consisted of four companies to be merged in connection with the acquisition. Nicolai subsequently advised Pemberton on ActivumSG Capital Management’s acquisition of KPC and the extension of the original loan facility.  
  • Nicolai assisted the German bank Landesbank Hessen-Thüringen (Helaba) in connection with the issue of a loan in the amount of DKK 900m to a private equity fund, which acquired DSV’s new headquarters in Hedehusene, Eastern Denmark. It was a ”sale and lease-back” arrangement, where the private equity fund subsequently leased the premises to DSV. Nicolai subsequently assisted Helaba in making several adjustments to the loan agreement. 
  • Nicolai acted for the Dutch company TIP Trailer Services on securitisation in connection with the TIP Group’s general European financing, where security was provided in a part of the affiliated companies’ assets. It was a highly complex matter transcending a number of borders and involving several lenders. The matter was solved in cooperation with DLA Piper’s offices in nine countries.
