DLA Piper has advised Danish R&D Group on sale to US-listed MTS

DLA Piper Denmark has advised R&D Group A/S in connection with the conclusion of an agreement on the sale of four Danish and two foreign subsidiaries at an aggregate EV of USD 80m. The completion of the transaction is subject to approval from the German competition authorities.

R&D Group is an international engineering company providing consultancy services and also a world leader in developing unique and complex Heavy-Duty test systems, primarily for the wind and aerospace industries. R&D is currently developing the world’s biggest test bench for LORC (the Danish foundation Fonden Lindoe Offshore Renewables Center).

US listed company MTS Systems Corporation is a developer of high-performance test systems, etc. Because of its green focus, R&D Group’s test division was a perfect match for MTS.

DLA Piper’s M&A team was made up by Lawyer Kristian Hjølund Nielsen, Lawyer Thomas Kjær Nordestgaard and Project Manager Sanela Lulic, and its special-assistance team included Lawyers Rune Hamborg, Kim Rasmussen and Michael Klejs Pedersen. In addition, Carl Erik Skovgaard joined the team as a steering-group member in the transaction process and as chairman of the Board of Directors of R&D Group A/S.
